BlueGate Procure operates on a strict zero-trust network topology. All data parsing, especially for sensitive components like the Contract Risk Analyzer and AP Matching modules, occurs within isolated, ephemeral containerized environments. No third-party API has persistent access to your strategic sourcing data.

Proprietary LLM Security

We understand that uploading Master Service Agreements or unredacted ERP ledgers carries immense risk. Because of this, BlueGate utilizes stateless inference for all AI modules. Prompts and contextual data are never used to train generalized models, ensuring your intellectual property remains absolutely proprietary.

1. Data Collection

BlueGate Procure collects minimal personal data necessary for delivering our autonomous procurement services. We process corporate email addresses for authentication and operational vendor metadata for our AI modules.

2. How We Use Information

Data inputted into our platform is utilized strictly for executing your specifically configured AI sequences. We do not sell your data. We use ephemeral processing states, meaning we do not build persistent LLM memories around your proprietary supplier data.

3. Data Retention

Procurement meta-data is retained only for the duration of the active contract lifecycle. Upon termination, client instances are cryptographically wiped according to NIST 800-88 standards.

1. License to Use

Subject to these Terms, BlueGate Procure grants your enterprise a non-exclusive, non-transferable license to access the Intelligence Layer and execute AI Modules allocated within your pricing tier.

2. User Responsibilities

You agree to not reverse engineer our proprietary inference models, overload the API gateways beyond agreed burst limits, or use the platform to orchestrate illegal procurement activities (e.g., sanction evasion).

3. Limitation of Liability

While our agents operate with 99.8% precision, human-in-the-loop verification is required for transactions exceeding $1,000,000 USD. BlueGate is not liable for indirect commercial damages resulting from unreviewed autonomous actions.

1. Role of the Parties

For the purposes of GDPR, the Client acts as the Data Controller, and BlueGate Procure acts as the Data Processor. Our processing instructions are bound strictly to executing the requested AI workflows.

2. Cross-Border Transfers

Any data transferred outside the EEA is protected by Standard Contractual Clauses (SCCs). We maintain an active inventory of our approved sub-processors required for running foundational LLM inference securely.

3. Audit Rights

Enterprise clients retain the right to conduct an annual security audit to verify our compliance with this DPA, executed by an independent third-party assessor.

1. Professional Plan Refunds

We offer a no-questions-asked 14-day refund policy for our Professional Plan. If our AI modules do not save you time within the first two weeks, you are entitled to a full software subscription refund.

2. Enterprise Implementation Fees

Custom LLM fine-tuning and localized infrastructure implementations are non-refundable once the deployment engineering hours have been logged. However, SLA credits are issued for any availability drops.

3. Cancellation

You may cancel your monthly subscription at any time. Prorated refunds for mid-billing cycle cancellations are automatically processed.
